What's the difference between a mutual NDA and a one-way NDA? +
In a mutual (bilateral) NDA, both parties share confidential information and both promise to protect the other's secrets. In a one-way (unilateral) NDA, only one party discloses information — the other party simply agrees not to share it.
How long should an NDA last? +
Most NDAs last 2–5 years. Trade secrets may warrant longer terms or even indefinite protection. Courts are more likely to enforce time-limited NDAs than indefinite ones, so most attorneys recommend a defined term with a carve-out for trade secrets.
